Terms of Service

By accessing or using any part of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at https://satechs-solutions.vercel.app/terms&policies/privacy-policy). If you do not agree to all the terms and conditions of this agreement, then you are not authorized to access the Services or use any of its features. If these Terms are considered an offer, acceptance is expressly limited to these Terms.

If you are using the Services on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind that Organization to these Terms. In that case, "you" and "your" throughout these Terms refer to that Organization.

SaTechs Solutions reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least thirty (30) days' notice prior to any new terms taking effect. This notice may be provided by posting the new terms on our website, sending an email to the address associated with your account, or by other means we deem appropriate. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, you must stop using the website and the Services. We may also, in the future, offer new services and/or features through the Services (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms.

Eligibility: You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use our Services. By agreeing to these Terms, you represent and warrant to us that you meet this age requirement.

Account Registration: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information promptly to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for all activities that occur under your account, whether or not you have authorized such activities. You agree to notify SaTechs Solutions immediately of any unauthorized use of your account.

License to Use Services: Subject to your ongoing compliance with these Terms, SaTechs Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business purposes, as applicable, and as intended through the provided functionality of the Services and in accordance with these Terms.

Prohibited Conduct: You agree not to engage in any of the following prohibited activities:

• Copying, distributing, or disclosing any part of the Services in any medium, including without limitation by any automated or non-automated "scraping";
• Using any automated system, including without limitation "robots," "spiders," "offline readers," etc., to access the Services in a manner that sends more request messages to the SaTechs Solutions servers than a human can reasonably produce in the same period of time by using a conventional on-line web browser;
• Transmitting spam, chain letters, or other unsolicited email;
• Attempting to interfere with, compromise the system integrity or security or decipher any transmissions to or from the servers running the Services;
• Taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure;
• Uploading invalid data, viruses, worms, or other software agents through the Services;
• Collecting or harvesting any personally identifiable information, including account names, from the Services;
• Using the Services for any commercial solicitation purposes;
• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity;
• Interfering with the proper working of the Services;
• Accessing any content on the Services through any technology or means other than those provided or authorized by the Services; or
• Bypassing the measures we may use to prevent or restrict access to the Services, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.
• Using the Services for any illegal or unauthorized purpose, or engaging in, encouraging, or promoting any activity that violates these Terms.

If your use of the Services involves licensing or subscribing to specific software products provided by SaTechs Solutions (e.g., Software as a Service (SaaS) platforms, downloadable software applications), your use of such software may be subject to additional terms and conditions as set forth in a separate Software License Agreement, End User License Agreement (EULA), Master Services Agreement, or Subscription Agreement ("Specific Software Terms"). In the event of a conflict between these general Terms of Service and such Specific Software Terms, the Specific Software Terms will prevail with respect to your use of that particular software product.

Updates and Modifications: SaTechs Solutions may from time to time provide enhancements or improvements to the features and functionality of the software, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). Updates may modify or delete certain features and/or functionalities of the software. You agree that SaTechs Solutions has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the software to you. You further agree that all Updates will be (i) deemed to constitute an integral part of the software, and (ii) subject to the terms and conditions of these Terms or any applicable Specific SoftwareTerms.

Certain aspects of the Services may be provided for a fee or other charge. If you elect to use paid aspects of the Services, you agree to the pricing and payment terms as we may update them from time to time. SaTechs Solutions may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in its sole discretion.

Subscriptions: If you purchase a subscription to our Services, your subscription will automatically renew at the end of each subscription period for an additional period of the same duration, at the then-current fee for such subscription, unless you cancel your subscription before the end of the then-current subscription period. You may cancel your subscription through your account settings or by contacting us at legal@satechssolutions.com. Cancellation will be effective at the end of of the then-current subscription period.

Payment Information: All financial transactions made in connection with the Services will be processed by a third-party payment processor in accordance with their terms of service and privacy policy. You are responsible for providing valid and current payment information. We do not store your full credit card information.

Taxes: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities (collectively "Taxes"), and you shall be responsible for payment of all such Taxes, excluding only taxes based solely on SaTechs Solutions's net income. We will charge Tax when required to do so.

Refunds: Except when required by law, all fees are non-refundable. Please review any specific refund policies applicable to particular Services before making a purchase.

The Services and all rights therein, including all content, software, code, designs, graphics, text, logos, trademarks, service marks, trade names, and other intellectual property (collectively, "SaTechs Solutions IP") are and will remain the exclusive property of SaTechs Solutions and its licensors. The SaTechs Solutions IP is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of Kenya and international conventions.

Except as expressly permitted in these Terms or any applicable Specific Software Terms, you may not copy, modify, distribute, sell, lease, create derivative works from, decompile, reverse engineer, or otherwise attempt to extract the source code of the SaTechs Solutions IP.

User Content: If our Services allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("User Content"), you are responsible for the User Content that you post to the Services, including its legality, reliability, and appropriateness. By posting User Content to the Services, you grant SaTechs Solutions a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations or other changes we make so that your content works better with the Services), communicate, publish, publicly perform, publicly display and distribute such User Content. This license is for the limited purpose of operating, promoting, and improving our Services, and to develop new ones. You represent and warrant that you have all necessary rights to grant this license for any User Content you submit.

Feedback: You may choose to, or we may invite you to, submit comments, suggestions, or ideas about the Services, including how to improve the Services ("Feedback"). By submitting any Feedback, you agree that your disclosure is gratuitous, unsolicited, and without restriction, that it will not place SaTechs Solutions under any fiduciary or other obligation, and that we are free to use the Feedback without any additional compensation to you, and/or to disclose the Feedback on a non-confidential basis or otherwise to anyone.

Our Services may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by SaTechs Solutions. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website from the Services, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites. You expressly relieve SaTechs Solutions from any and all liability arising from your use of any third-party website, service, or content.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

If you wish to terminate your account (if applicable), you may do so by following the instructions on the Services or by contacting us. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SaTechs Solutions, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT: A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURELY OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.

YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SaTechs Solutions, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SaTechs Solutions'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICES OR OTHERWISE ARISING OUT OF OR RELATING TO THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF (I) THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO SaTechs Solutions FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE ACT, OMISSION OR OCCURRENCE GIVING RISE TO SUCH LIABILITY, OR (II) ONE HUNDRED U.S. DOLLARS (USD $100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify and hold harmless SaTechs Solutions and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

These Terms shall be governed and construed in accordance with the laws of Kenya, without regard to its conflict of law principles.

You agree to submit to the personal and exclusive jurisdiction of the courts located within Kenya to resolve any dispute or claim arising from these Terms or the Services.

Please read this section carefully as it affects your rights.

Most customer concerns can be resolved quickly and to the customer's satisfaction by contacting us at legal@satechssolutions.com. In the unlikely event that SaTechs Solutions's customer support team is unable to resolve a complaint you may have to your satisfaction (or if SaTechs Solutions has not been able to resolve a dispute it has with you after attempting to do so informally), we each agree to resolve those disputes through binding arbitration or small claims court instead of in courts of general jurisdiction.

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

Waiver: Any failure by SaTechs Solutions to enforce or exercise any provision of these Terms or related rights shall not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy and any other legal notices or specific service agreements published by SaTechs Solutions on the Services or entered into between you and SaTechs Solutions, constitute the entire agreement between you and SaTechs Solutions concerning your use of the Services. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and SaTechs Solutions with respect to the Services.
